1. Agreement to Terms
By accessing or using Simpler Proofs (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
Simpler Proofs provides a proof management platform that allows businesses to send design proofs to customers, collect approvals, track revisions, and maintain documentation of the approval process.
3. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account password and for any activities or actions under your account.
You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any unauthorized access to your account.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Upload or transmit viruses or malicious code
- Attempt to gain unauthorized access to our systems
- Use the Service for any illegal or unauthorized purpose
- Harass, abuse, or harm another person
- Upload content that is unlawful, offensive, or infringes intellectual property rights
5. Intellectual Property
The Service and its original content (excluding user-uploaded content), features, and functionality are owned by Simpler Proofs and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of any content you upload to the Service. By uploading content, you grant us a non-exclusive license to use, store, and display that content solely for the purpose of providing the Service.
6. Payment and Billing
Paid features of the Service are billed in advance on a monthly or annual basis. You agree to pay all fees associated with your subscription plan.
Prices are subject to change with 30 days' notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
7. Cancellation and Refunds
You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service until the end of your current billing period.
Refunds are provided at our discretion. If you are unsatisfied with the Service within the first 14 days of your paid subscription, contact us at support@simplerproofs.com to request a refund.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may suspend or discontinue the Service at any time for maintenance, updates, or other reasons.
9. Limitation of Liability
To the maximum extent permitted by law, Simpler Proofs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will meet your specific requirements, be uninterrupted, timely, secure, or error-free, or that any results obtained from using the Service will be accurate or reliable.
11. Indemnification
You agree to defend, indemnify, and hold harmless Simpler Proofs and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service or violation of these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.
13. Dispute Resolution
Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
14. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
